At MusicMakerMarket, we value honesty and fairness. If you act in good faith, so will we.
If anyone tries to cheat, misuse, or deceive us or other users, we may take immediate action — including removing their account without any refund and, if necessary, pursuing legal action to protect our business and assets.

What we are: MusicMakerMarket is a platform that connects music creators (sellers) with customers (buyers). We do not take any commission on sales.

Payments and disputes: If a buyer files a dispute or chargeback through PayPal, that matter is between the buyer and the seller. Buyers can use the License ID we provide as proof of purchase.

Liability: We are not legally responsible for transactions between users or for copyright violations.

Copyright reporting: We remove obviously infringing tracks as soon as we identify them, but we cannot know every track in the world. We rely on user reports for suspicious material. When a track is reported, we review it and decide what action to take. The seller agrees our decision is final.

Fake or misleading accounts: If we believe an account is fake or fraudulent, we may request additional identification or suspend/terminate the account without prior notice and without refund.

Full Legally Binding Terms and Conditions

1. Good Faith and Enforcement. MusicMakerMarket (“the Platform”) operates under principles of mutual good faith. Users who act honestly will be treated with fairness and transparency. Any attempt to deceive, defraud, manipulate, or otherwise abuse the Platform, its systems, or other users constitutes a material breach of these Terms of Service. In such cases, MusicMakerMarket reserves the right, at its sole discretion and without prior notice, to suspend or permanently terminate the user’s account, to withhold or deny any refund, and to pursue any and all legal remedies available to protect its business interests, intellectual property, and assets.

2. Nature of Service. MusicMakerMarket functions solely as a technical hosting, discovery, and promotion platform for independent music creators (“Creators”) and third-party users (“Buyers”). The Platform does not act as an agent, partner, or employer of any user and does not participate in, endorse, or guarantee any transaction.
   The Platform:
   - does not sell music
   - does not license music
   - does not manage rights
   - does not act as agent, partner, publisher, or employer of any user.
   Any transaction, agreement, or license related to music usage occurs directly between users, outside of the Platform.

3. No Copyright Administration / No Collecting Societies The Platform does not manage copyrights, neighboring rights, publishing rights, or performance rights. MusicMakerMarket is not affiliated with, nor does it interact with, any collecting society, including but not limited to ASCAP, BMI, PRS, GEMA, SIAE, or similar organizations. All music uploaded to the Platform must not be registered with any collecting society.

4. Creator Declaration – Copyright-Free / Royalty-Free Content By uploading content, the Creator explicitly declares and guarantees that:
   - the music is original or fully controlled by the Creator
   - the content is free from third-party copyright claims
   - the content is not registered with any collecting society
   - the content may be used by third parties without royalties, recurring fees, or mandatory reporting.
   Any false declaration constitutes a material breach of these Terms.

5. User-Generated Content and Responsibility All music hosted on the Platform is user-generated content. The Platform does not pre-screen, verify, or guarantee the legal status, ownership, or originality of uploaded content. Full responsibility rests solely with the Creator who uploaded the content.

6. Payments and Transactions Disclaimer. MusicMakerMarket does not act as a payment intermediary, escrow service, or marketplace operator for music sales or licenses. All payments, refunds, disputes, chargebacks, and tax obligations occur outside the Platform, directly between users, using third-party tools or private agreements. The Platform bears no responsibility or liability for such transactions.

7. Commission and Chargebacks. MusicMakerMarket does not collect commissions or transaction fees on user-to-user sales. In the event of payment disputes or chargebacks (including PayPal disputes), the Platform bears no responsibility for the outcome. Platform-issued identifiers (e.g. License ID) may be used by users as proof of purchase.

8. Copyright Reporting and Content Removal (Safe Harbor). While MusicMakerMarket promptly removes content that is clearly infringing upon notification, it is not feasible to verify ownership of all uploaded content.
   - The Platform reserves the right to remove or disable access to any content that:
   - receives a copyright claim
   - appears to violate these Terms
   - poses legal or reputational risk
   Removal may occur without prior notice.
   Users are encouraged to report suspected infringing material. Upon receiving a report, The Platform will investigate and determine the appropriate action at its sole discretion. Sellers agree to accept such determinations as final and binding.

9. Account Verification and Suspension. If MusicMakerMarket reasonably suspects that an account is fraudulent, misleading, or otherwise inauthentic, the Platform may request additional identification or verification. Failure to provide satisfactory verification may result in immediate suspension or permanent termination of the account without prior notice and without any obligation to provide reimbursement or compensation.

10. Governing Law and Jurisdiction. These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where MusicMakerMarket operates. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.
